TERMS OF USE

1. ACCEPTANCE OF TERMS

By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree to these Terms, you must not access or use the Services.

2. ELIGIBILITY

You may use the Services only if you have the legal capacity to enter into a binding agreement with Vora Labs and only in compliance with these Terms and all laws and regulations that apply to you.

You are solely responsible for determining whether your use of digital assets, wallets, blockchain networks and related services is lawful in your jurisdiction. The Services are not available in certain regions, and you may not use technical means to circumvent any access restriction.

3. THE HOOJA SERVICES

The Services may include, among other things:

• the hooja.fun website;
• the Hooja NFT collection;
• Hooja lore, artwork, video and other media;
• games such as HOOJA ARCHERY;
• missions, leaderboards, bounty systems and other community experiences;
• account and social-login features;
• NFT allocation tools;
• interfaces or information relating to $HOOJA; and
• other Hooja-branded digital experiences that may be offered from time to time.

Features of the Services may change, be added, be removed or be discontinued at any time. Nothing in these Terms or on the Services is a commitment to provide any specific future feature.

4. ACCOUNTS, WALLETS AND SECURITY

Certain features require you to sign in using a supported social-login provider. You are responsible for maintaining the security of your login credentials and for all activity that occurs through your account.

You may optionally connect a self-custodial blockchain wallet. Vora Labs does not take custody of your digital assets and does not have access to or control over your private keys or seed phrase. You are solely responsible for safeguarding your wallet, private keys and seed phrase. Vora Labs will never ask you for your seed phrase or private keys.

You are responsible for every transaction you authorize from your wallet. Blockchain transactions are generally irreversible, and Vora Labs cannot reverse, cancel or refund them. Wallets, login providers and other third-party providers you use are governed by their own terms and policies.

5. HOOJA NFT OWNERSHIP

Two distinct things are involved when you hold a Hooja NFT:

• The token. You own the blockchain token that represents your Hooja NFT, as recorded on the applicable blockchain.
• The artwork. Intellectual-property rights in the artwork associated with that token remain with Vora Labs or its licensors, and you receive the license described in Section 6.

Purchasing or holding a Hooja NFT does not transfer ownership of the Hooja brand, trademarks, logos, the collection as a whole, shared traits, lore, world or any other underlying Hooja intellectual property.

6. COMMERCIAL RIGHTS FOR HOOJA NFT HOLDERS

Every lawful holder of a Hooja NFT receives broad commercial and non-commercial rights to use the complete artwork associated with the specific Hooja NFT they own, for as long as they own that NFT.

6.1 License grant

Subject to your compliance with these Terms, while you are the lawful holder of a Hooja NFT, Vora Labs grants you a worldwide, royalty-free, non-exclusive license, for commercial and non-commercial purposes, to reproduce, display, distribute, adapt and create derivative works using the complete artwork associated with that specific NFT (the "Licensed Artwork").

Permitted uses include, for example, merchandise, apparel, physical products, artwork, animation, video, social content, games, comics, branding, businesses, entertainment and licensed collaborations. No revenue cap applies to this license.

6.2 Holder-created works

To the extent permitted by applicable law, you own the original copyrightable material that you independently create in a derivative work based on the Licensed Artwork. Ownership of that new material does not transfer ownership of Hooja, the underlying NFT artwork, shared collection traits, Hooja trademarks or logos, other Hooja characters, or the Hooja world or lore.

6.3 Shared traits

The license applies to the complete artwork associated with your NFT. Holding an NFT that contains a particular trait does not give you exclusive rights to that individual trait. For example, if your Hooja wears a particular hood, carries a particular weapon or has particular eyes, clothing or accessories, you may use your complete Hooja artwork, but you do not acquire exclusive rights to that trait across the collection.

6.4 Hooja trademarks

The license does not grant ownership of, or an unrestricted license to, the marks HOOJA or $HOOJA, Hooja logos, the name Vora Labs, collection-level branding or other official project marks. You may truthfully identify your character as a Hooja or a Hooja NFT, but you may not represent your business, product or derivative work as officially created, sponsored or endorsed by Hooja or Vora Labs unless Vora Labs has agreed to that in writing.

6.5 Vora Labs' continuing rights

Vora Labs retains the right to use any artwork from the collection, including individual Hoojas, in connection with promoting Hooja, displaying the collection, social media, websites, marketplaces, trailers, lore, storytelling, games, animation, community content, archival purposes, exhibitions and marketing the Hooja ecosystem. Owning an NFT does not prevent Vora Labs from showing that NFT as part of the collection or the Hooja universe.

7. WHAT HAPPENS WHEN AN NFT IS TRANSFERRED

The license in Section 6 follows the NFT. When you sell or otherwise transfer a Hooja NFT:

• your license to make new uses of the Licensed Artwork ends;
• the new lawful holder receives the license under these Terms; and
• you may not present yourself as the current owner of that Hooja.

Physical and digital works that you lawfully created and distributed while you held the NFT may continue to exist, and you are not required to destroy or recall them. You may not, however, launch new products, new editions, new campaigns or other new uses based on that Hooja after your ownership ends.

Any sublicense you granted to a third party continues after the transfer only to the extent expressly permitted by these Terms or by a separate written agreement with Vora Labs.

8. RESTRICTIONS ON NFT IP USE

You may not use the Licensed Artwork in connection with:

• unlawful activity;
• fraud or deception;
• hate speech or extremist activity;
• material that unlawfully infringes the rights of any third party;
• falsely claiming official endorsement by Hooja or Vora Labs; or
• unauthorized use of Hooja trademarks or collection-level branding.

The license is not otherwise subject to revocation based on the content of your lawful creative work.

9. $HOOJA

$HOOJA is a meme token with no intrinsic value. Nothing in these Terms or on the Hooja website constitutes financial, investment, legal or tax advice.

$HOOJA does not represent equity, debt, ownership in Vora Labs, a promise of profits, a claim on revenue, a guaranteed investment or a promise of future utility, and it must not be represented as any of these. Blockchain and token transactions involve substantial risk. You are responsible for conducting your own research before acquiring or using $HOOJA.

10. NFT AND BLOCKCHAIN RISKS

By using digital assets, you acknowledge risks including:

• price volatility and loss of value;
• smart-contract vulnerabilities or errors;
• blockchain or network failures, congestion or forks;
• wallet compromise and phishing;
• risks associated with third-party marketplaces;
• changes in law or regulation;
• irreversible transactions; and
• changes in underlying technology.

Digital assets may lose some or all of their market value.

11. THIRD-PARTY SERVICES

The Services may link to or integrate third-party services, including wallets, social-login providers, blockchain networks, marketplaces, UnVault, Anvil, social networks and other external services. These third-party services operate under their own terms and policies. Vora Labs does not control their independent operation and is not responsible for them. These Terms do not govern any third-party protocol.

12. GAMES, MISSIONS, LEADERBOARDS AND REWARDS

Hooja experiences may include HOOJA ARCHERY, missions, leaderboards, bounty systems, whitelist opportunities, community campaigns and DIVIT campaigns. In connection with these experiences:

• rules may vary by campaign;
• eligibility requirements may apply;
• rewards are not guaranteed merely through participation unless a campaign's rules expressly state otherwise; and
• abusive behavior, bots, manipulation or fraud may result in disqualification and forfeiture of any related points or rewards.

DIVIT, where applicable, is an optional community-marketing and reward campaign mechanism. It is not NFT yield, passive income or an automatic holder reward.

13. USER CONTENT

You retain ownership of original content you voluntarily submit or publish through the Services. You grant Vora Labs a non-exclusive, worldwide, royalty-free license to use that content only as reasonably required to display it, operate the relevant feature, moderate it, and promote the associated Hooja campaign or community experience.

14. HOOJA INTELLECTUAL PROPERTY

Except for the NFT license granted in Section 6, all rights in Hooja, Hooja branding, website design, logos, trademarks, world, lore, characters, games, software and content created by Hooja or Vora Labs remain owned by Vora Labs or its licensors. Owning one Hooja NFT does not grant rights to unrelated Hooja characters or the broader franchise.

15. PROHIBITED CONDUCT

You agree not to:

• hack, or attempt to gain unauthorized access to, the Services;
• exploit vulnerabilities in the Services;
• use bots or automation abusively;
• manipulate games, missions or leaderboards;
• impersonate any person or entity;
• commit fraud;
• interfere with or disrupt the Services' infrastructure;
• violate applicable law; or
• scrape or otherwise abuse the Services in a way that materially harms them.

Ordinary sharing, search-engine indexing and other legitimate use of publicly available Hooja content is not prohibited.

16. DISCLAIMERS

To the maximum extent permitted by law, the Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied. Vora Labs does not guarantee uptime, the market value of any NFT or token, the availability of third-party protocols, the uninterrupted operation of any blockchain, or the continued availability of any individual feature.

17. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Vora Labs and its affiliates, officers, employees and contractors will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data, digital assets or goodwill, arising out of or relating to your use of, or inability to use, the Services. Nothing in these Terms limits liability that cannot be limited under applicable law.

18. INDEMNIFICATION

To the extent permitted by law, you agree to indemnify and hold harmless Vora Labs from reasonable claims, losses and expenses, including reasonable legal fees, arising from your violation of these Terms, your unlawful use of the Services, infringement caused by derivative works you create, or your misuse of the NFT license.

19. CHANGES TO THE SERVICES OR TERMS

We may update these Terms from time to time. Material changes will be reflected by an updated effective date and, where required, appropriate notice. Changes do not retroactively revoke the NFT license for any period during which you held an NFT, and the NFT license remains tied to ownership under the terms applicable to it.

20. TERMINATION

Vora Labs may suspend or terminate your access to the website, your account or community features if you violate these Terms. Suspension or termination of access does not transfer, seize or otherwise affect ownership of any NFT or digital asset held in your wallet.
